Terms of Service
These Terms of Service ("Terms") govern your access to and use of Daily Question (the "Service"). By creating an account, accessing the Service, or clicking an answer link delivered through the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- "You" means the individual using the Service. If you accept these Terms on behalf of an organization, "you" also means that organization, and you represent that you have authority to bind it.
- "We," "us," "our" means the operator of the Service.
- "Account" means an authenticated identity used to administer one or more Organizations on the Service.
- "Organization" means a workspace inside the Service holding campaigns, members, and billing.
- "Member" means a person who receives daily questions by email through an Organization.
- "Content" means text, settings, member rosters, and any other data you submit to the Service.
2. Eligibility and accounts
You must be at least 16 years old to create an Account. You are responsible for keeping your credentials confidential, for all activity under your Account, and for ensuring that anyone you invite into your Organization is authorized to receive Service emails at the address you supplied.
3. Acceptable use
You agree not to:
- use the Service to send unsolicited messages, spam, or content that you do not have permission to distribute to the recipients on your member list;
- upload, generate, or distribute Content that is unlawful, harassing, defamatory, or infringes any third party's rights;
- attempt to identify individual respondents from the anonymous response data, or to circumvent the anonymity guarantees described in our Privacy Policy;
- reverse engineer, scrape, abuse, overload, or attempt to gain unauthorized access to any part of the Service;
- resell, sublicense, or white-label the Service without our prior written consent.
We may suspend or terminate accounts that violate these rules. Where the violation is reasonably remediable, we will give notice and an opportunity to correct.
You also agree not to abuse the Service. Specifically, you agree not to use the Service to harass, intimidate, or coerce members into answering questions; not to use the Service to collect identifying information about anonymous respondents through any means (including question wording designed to fingerprint specific individuals); not to attempt to bypass the anonymity guarantees described in our Trust and Privacy pages; not to share your account credentials with anyone outside your Organization; and not to use the Service in any way that violates applicable law or the rights of others. We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.
4. Member consent and data accuracy
You represent and warrant that every email address you add to an Organization belongs to a person who has given you a reasonable basis to send them recurring Service emails on your behalf (for example, an employment or membership relationship). You are responsible for keeping your member list up to date and for honoring removal requests promptly.
5. Subscriptions, billing, and refunds
- Free tier: certain functionality is available without payment, subject to feature and member-count limits described in the Service.
- Paid plans: are billed in advance on a monthly or annual cadence in the currency shown at checkout. Plans renew automatically until cancelled.
- Cancellation: you may cancel at any time through the Service. Cancellation takes effect at the end of the current paid period. We do not refund the unused portion of a period unless required by law.
- Failed payment: if a charge fails, we will retry per the schedule shown in the Service. If the retry window passes without payment, your Organization will move to the Free tier and paid features will become unavailable.
- Price changes: we may change prices for new billing periods with at least 30 days' notice; any change applies to renewals after the notice window.
- Taxes: prices are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, value-added, or similar taxes.
6. Content ownership and license
You retain all rights in your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process your Content solely as necessary to provide the Service to you, to support you, and to operate, maintain, and improve the Service consistent with our Privacy Policy.
We retain all rights in the Service itself, including software, design, brand, and documentation. Nothing in these Terms grants you any right or license in those materials except the limited right to use the Service.
7. Feedback
If you submit suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
8. Third-party services
The Service uses third-party providers for email delivery, payment processing, hosting, analytics (when enabled), and certain AI features. Use of those providers is governed by our Privacy Policy. We are not responsible for the acts or omissions of any third party except as required by applicable law.
9. Service availability and changes
We strive to keep the Service available, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue any feature at any time. We will give reasonable advance notice of changes that materially reduce functionality on a paid plan; if such a change has a material adverse effect on you, you may cancel and receive a pro-rated refund of the unused portion of your prepaid period.
10. Termination
You may close your Account at any time. We may suspend or terminate your access if you breach these Terms, if your account becomes inactive for an extended period, or if continued provision of the Service to you would cause us to violate applicable law. On termination, the rights granted to you in these Terms immediately end, and we will delete your Content per the retention schedule in our Privacy Policy.
We reserve the right to suspend or terminate any Account at our sole discretion, with or without notice, when we reasonably believe doing so is necessary to protect the Service, other customers, or third parties; to comply with applicable law; or to address conduct we determine to be abusive, fraudulent, harmful, or contrary to the spirit of the Service. Where practical we will give notice and an opportunity to remedy. Where the conduct presents an immediate risk we may act without notice.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT. INSIGHTS AND SCORES SURFACED BY THE SERVICE ARE INFORMATIONAL ONLY AND SHOULD NOT BE TREATED AS PROFESSIONAL ADVICE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR USD $100, WHICHEVER IS GREATER). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
13. Indemnification
You agree to indemnify and hold us harmless from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your infringement of any third party's rights.
14. Governing law and disputes
These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Hall County, Georgia, and you consent to the personal jurisdiction and venue of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Changes to these Terms
We may update these Terms. Material changes will be announced through the Service or by email at least 30 days before they take effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms (together with the Privacy Policy and any order form or written agreement we sign with you) are the entire agreement between you and us regarding the Service and supersede all prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. A waiver of any breach is not a waiver of any subsequent breach. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
